Reputable boutique law firm seeks an experienced Corporate Attorney specializing in Mergers & Acquisitions (M&A) and Private Equity to join their legal team. The ideal candidate will possess a strong background in handling complex corporate transactions and providing strategic legal counsel in M&A and private equity. This role requires exceptional analytical skills, attention to detail, and the ability to collaborate effectively with various stakeholders to drive business success.
Responsibilities:
- Advise on all aspects of M&A transactions, including deal structuring, due diligence, negotiation, and execution.
- Provide legal support and guidance on private equity transactions, including fund formation, investments, and portfolio management.
- Draft, review, and negotiate a wide range of transactional documents, including purchase agreements, joint venture agreements, and shareholder agreements.
- Conduct comprehensive due diligence to identify and mitigate potential risks in proposed transactions.
- Collaborate with internal finance, tax, and compliance teams to ensure seamless transaction execution.
- Assist in managing corporate governance matters, including board and committee support.
- Stay current on relevant laws, regulations, and industry trends to provide proactive legal advice.
- Build and maintain strong relationships with external counsel, investment banks, and key stakeholders.
- Support the company's strategic initiatives and business development activities with expert legal insight.
- Perform other related duties as assigned to support the overall goals of the legal department.
- Juris Doctor degree from an ABA-accredited law school and active bar membership in California
- 3-4 years of Corporate Transactional experience with a focus on Mergers & Acquisitions and Private Equity
- Proven track record of successfully handling complex M&A deals and private equity investments.
- Strong knowledge of corporate governance, securities law, and regulatory compliance.
- Excellent analytical, organizational, and communication skills.
- Ability to work independently and collaboratively in a fast-paced environment.
- Detail-oriented with a high level of accuracy in work.
- Strong negotiation skills and the ability to manage multiple priorities effectively.
