We are currently seeking a dynamic, self-motivated, and highly organized Corporate Paralegal to join our esteemed legal team. This exciting role will provide a broad range of corporate, transactional, and administrative support to our legal department. The ideal candidate will have a keen eye for detail, exceptional organizational skills, and a passion for the legal industry.
Responsibilities:
As a Corporate Paralegal, you will be expected to:
1. Assist in the preparation and filing of legal documents related to entity formation, mergers, acquisitions, and corporate compliance.
2. Maintain corporate records, prepare board of director minutes, and handle various corporate governance matters.
3. Conduct thorough due diligence for corporate transactions, including reviewing contracts, leases, and financial statements.
4. Prepare status certificates, closing checklists, and other necessary documents for financing transactions.
5. Coordinate and manage closing logistics for corporate transactions.
6. Provide support in the preparation and review of legal documents and agreements.
7. Collaborate with attorneys and other paralegals on various corporate legal matters.
8. Stay updated on the latest legal regulations and corporate governance best practices.
Qualifications:
The successful candidate must possess the following qualifications:
1. A Bachelor's degree in Law, Business Administration, or a related field.
2. A minimum of 3 years of experience as a Corporate Paralegal or a similar role in the legal industry.
3. Extensive knowledge and experience in entity formation, corporate compliance, mergers and acquisitions, and due diligence.
4. Proficiency in preparing board of director minutes, status certificates, and closing checklists.
5. Demonstrated experience in managing financing transactions.
6. Exceptional attention to detail and superior organizational skills.
7. Strong verbal and written communication skills.
8. Ability to work independently and as part of a team.
9. Proficiency in using legal software and Microsoft Office Suite.
10. Paralegal certification is preferred.
