You will support the NPS Prism Management team and Commercial team in reviewing, drafting and negotiating legal contracts as well as performing general corporate governance duties.

WHAT YOU'LL DO
You will support the NPS Prism Management team and Commercial team in reviewing, drafting and negotiating legal contracts as well as performing general corporate governance duties.
Responsibilities:
General responsibilities will initially include:
- Review, draft and negotiate legal contracts including:
- NPS Prism client contracts,
- confidentiality agreements,
- vendor contracts, and
- various other types of agreements (including employee agreements).
- Directly negotiate and/or support the negotiation of an agreement acceptable to NPS Prism (and where relevant, Bain & Company).
- Communicate your assessment of the legal issues in an agreement to NPS Prism leadership in a clear and concise manner.
- Prepare necessary corporate governance documents and meeting minutes for entities.
- Advise NPS Prism Management Team on legal matters; where needed, coordinate with Bain Legal, Bain Employee Relations, and/or Bain HR.
- Support internal NPS Prism clients with corporate law matters, such as drafting and negotiating sophisticated agreements, advising on conflict of interest matters, advising on various corporate law related matters and topics and application of NPS Prism policies, including its code of conduct.

ABOUT YOU
Qualifications:
- JD with 5 years experience reviewing, drafting and negotiating business contracts. In-house and international experience a significant plus.
- General corporate governance experience required.
- Portuguese or Spanish business fluency a plus.
- Strong legal drafting and negotiation skills.
- Excellent written and verbal communication skills.
- Highly-developed organizational skills and be articulate, detail oriented and hard working.
- Experience in servicing multinational clients preferred.
- Candidates for this position should have a strong desire for professional growth and additional responsibility within a global role and should be able to work independently while at the same time having a strong one-team ethic.
