Job Description
U.S. Bank is seeking an experienced attorney with renewable energy experience to join the Law Division to support the Environmental Finance business team, which provides project financing, tax equity investments and tax equity syndications for renewable energy projects. The Environmental Finance team is a business line within U.S. Bancorp Impact Finance and the successful candidate will report directly to the Chief Counsel of Impact Finance and engage in meaningful collaboration with the broader Law Division team that supports Impact Finance.
Primary Responsibilities
- Lead legal advisor to Environmental Finance business team
- Document or manage outside counsel on project finance, tax equity investment, and syndicated finance transactions for renewable energy projects
- Conduct legislative research related to the renewable energy industry and provide policy analysis and advocacy on behalf of Impact Finance, as needed
- Negotiate engagement agreements for transaction advisory services
- Provide monitoring-period legal advice
- Maintain ancillary form agreement templates and related internal processes and procedures
- Advise non-lawyer client groups on complex contractual provisions
- Assist in maintenance of compliance with bank regulatory requirements applicable to renewable energy transactions with training and support
- Respond to litigation matters of limited complexity that affect the Environmental Finance business line
Location Expectations
The role offers a hybrid/flexible schedule, which means there's an in-office expectation of 3 or more days per week and the flexibility to work outside the office location for the other days.
Basic Qualifications
- Licensed by and in good standing with the appropriate state bar association or other appropriate state attorney licensing authority
Preferred Skills/Experience
- Eight or more years of renewable energy project finance or tax equity finance experience at a law firm or in-house legal group
- Ability or potential to implement equitable practices into daily work
- Commitment to continuous improvement in systems and processes
- Demonstrated experience with, or potential to gain current knowledge of, state and federal tax credit laws and regulations and commercial lending laws
- Ability to collaborate confidently and effectively with a diverse range of stakeholders
- Experience managing other legal professionals and working with outside counsel
- Excellent attention to detail
- Solutions oriented
- Excellent oral and written communication skills
- Ability to work effectively as an individual and as part of a multi-disciplinary team
- Ability to lead tasks with minimal oversight after receiving training
- Desire to learn and to solve complex and novel problems
