Capital Markets Associate Attorney
Location: Philadelphia, PA
Our client, a highly respected AmLaw 50 international law firm, is seeking a highly qualified Capital Markets Associate Attorney to join their Corporate Finance and Capital Markets practice, recognized for structuring and executing complex financial transactions across major industries worldwide. This dynamic group, comprising over 125 attorneys in the U.S., Europe, and Asia, collaborates seamlessly on domestic and cross-border transactions, particularly excelling in raising permanent capital, advising private equity firms on IPO exits, and handling debt financings in the life sciences sector.
Candidate Profile:
- JD from a top-tier law school with a strong academic record.
- Active Bar Admission in Pennsylvania.
- 3-5 years of substantive Capital Markets experience.
- Experience representing issuers, underwriters, and placement agents in public offerings, private placements, and other securities offerings, including compliance with the 1933 Act and 1934 Act.
- Permanent capital and M&A experience is helpful.
- Experience in the life sciences industry is a plus.
- Large law firm experience required.
Key Responsibilities:
- Provide legal services in capital markets transactions, including public offerings and private placements.
- Collaborate with a diverse team to deliver efficient solutions for complex financial transactions.
- Represent national and international clients in critical financial matters, ensuring compliance with regulatory requirements.
- Participate in sovereign bond offerings and work on cross-border equity and debt offerings.
