Position Description
Collaborate with Sales, Growth and Operations teams and other department managers to prepare and review contracts for new and ongoing projects, subcontractors, MSA contractors and vendors, and to ensure risk mitigation and compliance with regulatory guidelines and operational needs. Manage leases, real estate tax filings and related transactions for Omaha Track and its subsidiaries.
Major Areas of Responsibility
- Review and revise any open contracts and draft contracts as needed, ensuring compliance with state and federal laws and regulations
- Communicate with contractors on any open items – including potential new subcontractors and/or MSA contractors as well as any updates/changes with current contractors
- Ensure timely and accurate contract approval
- Maintain Sub Contractor agreements including Insurance compliance, requirements, and renewals
- Monitor subcontractor insurance and communicates with HUB to receive approval on insurance
- Educate Operations and other departments as needed regarding requirements in contracts
- Collaborate with safety on employee rosters for new subcontractors or roster changes
- Write contract cover emails and other communications and notices
- Prepare, file, track and maintain leases
- Prepare, file, track and facilitate payment of property taxes
- Real Estate related transactions
- Researches and analyzes statutes, regulations, legal articles, judicial decisions and other legal sources; provides written analysis as needed
- Maintain and organize all contract, lease, property tax and related files including uploading and tracking documents
- Track expiration dates for leases and contracts
- Ensure that all records of contracts, leases, taxes and related records are accurate and up to date
- Track outside counsel invoices and process them for payment
- Coordinate receipt and organization of due diligence documents
- Offer notary services as needed
- Other related duties as assigned
Minimum Qualifications
- Bachelor’s degree or equivalent experience required
- Minimum of 3 to 5 years of experience with a law firm or corporation drafting and managing business contracts
- Demonstrated knowledge of contract law
- Completion of Paralegal or Legal Assistant program and Railroad operations experience are a plus
- Excellent written and verbal communication skills with a high level of accuracy and attention to detail
- Demonstrated strong interpersonal skills with a focus on tact, coaching, public relations, and professionalism
- Demonstrated ability to prioritize appropriately and successfully manage projects through completion
