About the Job
Responsibilities
- Find creative solutions that meet both company's and its clients' business and legal needs and ensure that the contracts comply with internal policy and regulatory requirements.
- Requires coordination with various stakeholders and subject matter experts notably the Sales team(s), in the legal department, compliance, product marketing, finance, as well as other groups to help drive transactions to successful completion within the required time frame.
- Maintain and enforce contracting policies including approval procedures for non-standard terms and pricing, assist the sales force with on-going administration of client contracts, advise management on contractual terms and risks, and provide training to sales and other departments on contract issues and negotiation strategies.
- Use your judgment and making sound decisions quickly to facilitate deal execution while minimizing risk to company's interests.
Basic Qualifications:
- BA Required and Law Degree or substantial legal training and 10+ years relevant experience
- End-to-end processing of highly complex commercial transactions and legal terms
- 5 years plus of experience structuring, drafting, and negotiating software licensing, professional services, SaaS, analytics, and complex commercial agreements for large financial institutions, telecoms, utilities, fintech, and other types of business clients, in a corporate or other environment
- Excellent working knowledge and experience with legal concepts such as Limitations of Liability, Indemnification, Warranties, Termination, Data Security, and Confidentiality
- Ability to train, mentor and provide leadership to Buy Desk and more junior Contracts team members on both transactional engagements and project specific initiatives
- Experience with data privacy laws, or other similar regulatory schemes, a major plus
- Experience supporting sales teams at a technology company or other large company desired
- Ability to lead a negotiation, understanding how to balance key risks and opportunities to reach a mutually acceptable agreement in a way that will not alienate clients
- Concisely, timely and effectively advise executive leaders of contract risk associated with certain arrangements as needed (including C level executives and business unit Presidents)
- Solid understanding of contract law and legal concepts, including their practical application in a business environment (UCC- uniform commercial code or similar, desirable)
- Ability to draft documents quickly, completely and concisely, including "Client” non-templated language
- Some travel may be required for team meetings at corporate or for on-site contracts negotiations
- High level of comfort in a corporate environment comprised of numerous business units with diverse needs and rapidly changing priorities
- Demonstrated interest in the tech arena and desire to understand and embrace technology evolutions
- Demonstrated ability to quickly digest complex information and make good, informed decisions
- Highly motivated, strategic, and detail-oriented with the ability to proactively organize a heavy workload and work independently without daily supervision
- Self-starter who understands executing with urgency, and the ability to comfortably work in an intensely deadline-oriented environment
- Maintain a high level of professionalism and outstanding business judgment with minimal supervision and the ability to pivot and re-prioritize quickly and frequently
- Ability to draft a substantive email in five sentences or less for an executive level audience
This is the pay range that Magnit reasonably expects to pay for this position: $60.13/hour - $80.17/hour
