Job Overview
We are seeking highly skilled Corporate Attorneys with over six years of experience to join our elite team of life sciences lawyers in Palo Alto. This is an exciting opportunity to work with cutting-edge biotech and life sciences companies, guiding them from inception through venture capital funding, IPOs, and beyond. The role will offer a blend of deep legal expertise in the life sciences sector, with exposure to biotech, genomics, pharma, AI drug discovery, therapeutics, and more. You will be instrumental in advising clients through complex corporate transactions, including M&A, IPOs, equity capital markets, and public company reporting, while leading a team of associates in this fast-paced, dynamic practice.
Key Responsibilities
- Provide strategic legal counsel to life sciences and biotech clients through various stages of growth, including startup, venture capital, IPO, and post-public company operations.
- Advise on equity capital markets, public company reporting, and mergers and acquisitions (M&A).
- Draft, negotiate, and review corporate agreements and regulatory filings.
- Lead and manage a team of associates, delegating tasks and mentoring junior lawyers.
- Collaborate directly with clients to develop business strategies and address legal challenges related to their innovative products and technologies.
- Work closely with other practice groups within the firm to deliver holistic and coordinated legal advice to clients.
Essential Skills and Qualifications
- Juris Doctor (JD) degree from a reputable law school with strong academic credentials.
- Admission to the California Bar is required.
- Minimum of 6 years of experience in corporate law, with a focus on life sciences, biotech, or related industries.
- Extensive experience advising on startup/venture capital transactions, IPOs, and equity capital markets.
- Proven ability to navigate complex M&A transactions.
- Strong leadership skills, with experience managing teams of associates.
- Excellent communication, organizational, and analytical skills.
- A proactive, client-centric approach with the ability to build strong relationships.
