Salary: $145,000 - $165,000 per year

Our new general counsel is growing and looking to bring on an experienced corporate paralegal strong with corporate governance.

Job Details
Principal Responsibilities
Corporate Governance:
Maintain comprehensive corporate books and records.
Draft board minutes and resolutions.
Assist in creating and maintaining Delegations of Authority.
Maintain accurate records of Tax ID and FinCen numbers for all entities.
Contracts:
Assist in managing the contract administration process.
Maintain a detailed repository of executed agreements.
Support the drafting and review of NDAs and other agreements.
Mergers and Acquisitions:
Provide crucial support during the M&A process, including due diligence.
Keep comprehensive M&A deal documentation up-to-date.
Law Department Operations:
Manage incoming Service of Process, ensuring proper tracking and forwarding.
Assist with tracking legal expenses and managing the Law Department’s budget.
Maintain and regularly update the Corporate Entity Chart.
Contribute to the development and upkeep of the record retention policy, including financing agreements and critical documents.
Assist with quarterly audit processes.
Litigation:
Support the litigation hold process and general litigation matters as needed.
Maintain the quarterly litigation and reserving report.
Real Estate:
Assist with the maintenance of executed leases.
Support lease administration, including tracking important lease term dates.
Required Qualifications:
10 to 15 years of paralegal experience with a focus on corporate governance.
Experience with public companies is advantageous.
Demonstrated positive, can-do attitude with the ability to work effectively across various functions.
Notary certification is a plus.
