This important role focuses primarily upon legal issues including corporate, transactional, and other organizational matters. The position will report to the Chief Legal Officer-Corporate ("CLO"), Group 1001. You must be fundamentally strong, inquisitive, have an ability to adapt, thrive in a collaborative environment, and have sound judgment.

Main Accountabilities
- Organizational. Key responsibility for assisting in organizing, administering, and coordinating corporate legal matters.
- Corporate. Maintaining of corporate records; preparing and filing necessary reports for companies with appropriate government agencies; preparing resolutions and governance actions; researching state corporate statutes and laws; reviewing, analyzing and organizing factual information and documentation in accordance with corporate legal practice and procedures.
- Transactional. Assisting in drafting and reviewing agreements and other legal documents related to a variety of business transactions;
- Research. Identifying, monitoring, and communicating changes to applicable federal, state and local laws and case law for impact with lines of business.
- Problem Solving. Identifying and assisting in resolving issues that develop re: all areas of responsibility.
- Communications. Communicating regularly with CLO-C regarding the status of all areas of responsibility.
Qualifications:
- 4-5 years of direct experience in corporate governance records and related licensing required.
- Proficient in (a) Microsoft Office® (incl. Excel, Word, and PowerPoint), Outlook, and Windows Explorer, (b) Internet and web-searches, and (c) Adobe Acrobat.
- A paralegal certificate or four years of advancing legal administrative experience.
- Exceptional organizational skills, precise attention to detail, ability to manage multiple priorities and track extensive details / filing histories.
- Excellent issue-spotting, research, and problem-solving skills; Resourceful; and Possess the ability to professionally articulate finding and recommendations.
- Ability and desire to manage numerous projects; Responsive to quick turn-around time and tight regulatory filing deadlines; and Enjoy a fast-paced environment.
- Hard working, personable, and can-do attitude with a willingness to accept and meet new challenges.
- Ability to preserve confidentiality of information sensitively and discreetly.
