PRIMARY RESPONSIBILITIES
Contracts
- Review potential regulatory changes and adapt policies and procedures to reflect changes prior to their release.
- Serve as primary reference point for contract and regulatory questions.
- Lead the internal approval process for contracts for services and procurement.
- Provide guidance to program staff on contract inception, implementation, and closeout activities, including preparation of contract briefing materials, required approvals, allowances, funding, procurement, property inventory, and audit file documentation.
- Analyze contractual commitments, specifications, and changes and develop a logistical program to prepare necessary contracts, subcontracts, purchase orders, task orders, and modifications.
- Lead the preparation and negotiation of Contracts, Subcontracts, Purchase Orders, Consultant Agreements, Contract, and Task Order modifications.
- Perform periodic contract budget monitoring.
- Lead all US-based project procurements and field project procurements greater than the local signature threshold.
- Organize and conduct periodic contract performance and administrative compliance reviews for project management teams.
- Respond to requests for assistance, information, and interpretation on a broad range of contractual topics, such as: allowances, contract regulations, procedures and management; subcontracting procedures and management; grants under contracts; and issues concerning cost, pricing, and billing.
- Review basic legal issues for employment and procurement.
- Ensure that staff follow contract regulations and Company accounting and personnel policies by reviewing and approving subcontracts, leases, teaming agreements, and other documents, and providing hands-on assistance in their preparation.
- Ensure administrative and financial compliance with USG regulations, including regular review of the USAID ADS, DFARS, FAR, GSAR, FTR, AIDAR, CFR, and Department of State Terms and Conditions to ensure compliance.
- Recommend develop contracts policies, procedures, methods, operating practices, and define performance standards for contractual programs.
- Advise Executive Leadership of contractual rights and obligations and provide interpretation of terms and conditions.
- Oversee completion of reporting and periodic compliance filings (e.g., SAM.gov, service contractor reporting, GSA schedule reporting, FSRS, ESRS, etc.).
- Manage and support registration of foreign entities, including Powers of Attorney and Delegations of Authority, advising on entity structure, leading the closing of entities, and ensuring compliance with local requirements after the end of project activities.
- Supervise and develop the capacity of contracts team to respond to project and closeout audits in addition to subcontract and contract related data in indirect cost statement audits.
- Review and update Policies and Procedures to reflect changes in company procurement, travel, and ethics procedures from the previous year.
- Provide capacity development to Company home office and field office staff in regulatory compliance, contract/subcontract/grant administration, procurement considerations for technical staff, and other topics through formal training programs, informal training videos, and training materials.
- Manage company GSA Schedule including supporting the negotiation of a new schedule award and facilitating the flow of identification of external resources to lead the upload and final negotiation of the Schedule.
Corporate Compliance and Operations Management
- Maintain Company Legal Entity.
- Maintain Company sam.gov entry.
- Manage GSA schedule and changes and updates.
- Manage WOSB status.
- Regularly advise executive and business development leads on NAICS codes and small business applicability of solicitations.
- Review and approve indirect cost-funded consultant agreements and contracts.
MINIMUM EDUCATION, EXPERIENCE, SKILLS & QUALIFICATIONS
- Master’s Degree in international development or relevant field required
- Bachelor's degree in Business Administration, Law, Finance, or related field; advanced degree preferred.
- 8-10 years of contract administration, compliance, and procurement experience, preferably with government contracts.
- Strong knowledge of USG regulations (USAID ADS, DFARS, FAR, GSAR, FTR, AIDAR, CFR).
- Proficient in negotiating and managing various contracts, subcontracts, purchase orders, and task orders.
- Proven ability to lead and develop a contracts team and conduct compliance reviews.
- Excellent project management skills, handling multiple tasks and deadlines.
- Strong written and verbal communication skills for contract documents and training materials.
- Ability to analyze contractual commitments and develop logistical programs.
- Experience in advising executive leadership on contractual rights and compliance issues.• Willingness to travel to post-conflict environments
- Fluency in English required
SALARY RANGE: $130,000 - $150,000
