Lead the origination and execution of merger and acquisition (M&A) transactions for domestic and foreign, and public and private entities across industries. Coordinate teams of associates and analysts within M&A, and collaborate with different coverage teams, including Healthcare, Technology, Retail, Real Estate and Industrials, in the provision of investment advisory services to clients. Work with other senior officers to develop innovative solutions for client companies. Evaluate risk factors and negotiate transactions on clients’ behalf. Perform valuation, accounting, and other technical tasks for transactions. Review comprehensive financial and mathematical modeling and analysis, including financial models that help companies and investors perceive valuation by applying discounted cash flow, trading multiples, precedent transactions, merger consequences, leveraged buyout feasibility, option valuation, and sum-of-the-parts techniques and analysis. Actively participate in business development by identifying potential client opportunities and converting such client engagements.Requirements:Master’s in Finance, Accounting or Business Administration, plus three years of experience in position offered or as investment banking associate at investment bank or financial institution.* *All required experience must have included conducting corporate finance and M&A transactions from a strategic, financial, structuring, and regulatory perspective for clients across industries including the industrials sector; building financial models, calibrating input assumptions, drawing valuation conclusions, and validating reasonableness of valuation analysis; liaising with legal advisors, clients, and counterparties to review and negotiate transaction documents and overall deal terms including for Merger Agreements, Sale Purchase Agreements, Vendor Due Diligence Reports, Quality of Earning Reports, and Financial Term Sheets; developing relationships with CEOs, CFOs, and business development and strategy teams; applying knowledge of valuation techniques (discounted cash flow, trading multiples, precedent transactions, leveraged buyout, and option valuation) and financial analysis and research in preparing valuation and marketing materials including confidential information memoranda and management presentations; applying knowledge of compliance and applicable regulatory requirements, including Generally Accepted Accounting Principles (GAAP), International Financial Reporting Standards (IFRS), SEC and FINRA regulations; and working with Microsoft PowerPoint, Excel and Word, Bloomberg, FactSet, S&P Capital IQ, Mergermarket, Kroll cost of capital database, Pitchbook and SEC Edgar. FINRA Series 79TO and SIE licenses required.Position requires approximately 30% domestic travel to meet with clients and attend industry conferences. This role entails hybrid work, with time split between working in our New York City office and flexibility to telecommute from another U.S. location#LI-DNI
