About the Opportunity:
General Counsel The General Counsel will be responsible for overseeing all legal matters within the firm. This includes managing contracts, guiding real estate transactions, and contributing to company strategy. The ideal candidate will be a proactive and strategic thinker, with a strong background in legal and business practices relevant to a mid-sized engineering services firm. The position requires regular travel to the Saratech offices in Mission Viejo, California.
Salary:
$80,000 - $130,000
Essential Duties and Responsibilities:
- Contracts Management:
- Review, draft, and negotiate contracts, ensuring compliance with applicable laws and regulations.
- Develop and implement contract management processes to streamline contract workflows and reduce risks.
- Real Estate Transactions:
- Provide legal guidance on real estate transactions, including leases, purchases, and sales.
- Collaborate with external real estate counsel and stakeholders to ensure successful transaction outcomes.
- Company Strategy:
- Advise executive leadership on legal implications of company strategies and business initiatives.
- Support corporate governance and compliance efforts, ensuring alignment with company objectives.
- Litigation Management:
- Manage any disputes or litigation, coordinating with outside counsel as necessary.
- Develop strategies for risk mitigation and dispute resolution.
- Legal Research and Compliance:
- Stay informed on relevant laws and regulations impacting the firm's operations.
- Conduct legal research and provide insights on legal trends and best practices.
- Intellectual Property:
- Oversee the protection and management of the firm's intellectual property assets, including trademarks, copyrights, and patents.
- Advise on IP-related matters and develop strategies to safeguard the firm's innovations.
- Acquisitions:
- Ensure compliance with applicable laws and regulations, including industry standards.
- Develop and implement risk management strategies to minimize legal exposure.
- Team Collaboration:
- Work closely with various departments to provide legal support and guidance.
- Foster a culture of compliance and ethics throughout the organization.
Requirements:
- Juris Doctor (JD) degree from an accredited law school.
- Strong academic background.
- Work experience (not necessarily as a lawyer) in contracts management, project management, and/or business transactions
- Excellent negotiation, communication, and interpersonal skills.
- Excellent written and verbal communication skills.
- Candidate must have US citizenship and be eligible to access ITAR data
Nice to have:
- Active bar membership in California
- 1-5 years legal experience in contracts management, real estate transactions, and corporate law, preferably in an engineering services-oriented environment.
- Proven ability to think strategically and provide practical legal solutions.
- Strong understanding of corporate governance, compliance, and risk management.
- Experience working with executive leadership and cross-functional teams.
