Position: Governance/Conflicts Attorney
Location: Remote (Must be local to DTLA, SF, or Washington D.C. for infrequent in office days based on business needs)
Pay: $141,600 to $180,000 annually
Experience: 4+ years of experience directing and conducting specific processes to include timely and thorough review, identification, and resolution of conflicts of interest, preparation of conflicts waivers, review of engagement letters and outside guidelines, review of new vendor contracts and other risk management related responsibilities.
Education:
- J.D. degree from a major, accredited law school.
- Admitted to the CA Bar OR D.C. Bar, active and in good standing; OR admission in another jurisdiction and able to take and pass the CA Bar OR D.C. Bar within one year.

Job Description:
- Assist with the clearance of new hires including conflicts analysis/resolution, review reports submitted by Governance Analysts, and escalation of items to Firm General Counsel and Partners.
- Draft language in waiver and engagement letters to ensure information adequately addresses conflicts and engagement issues.
- Review new vendor agreements to ensure compliance with firm standard terms and conditions.
- Review client outside counsel guidelines and engagement agreements to identify deviations from firm policies; draft responses to deviations.
- Develop internal policies, procedures, guidelines, and best practices with respect to information governance issues, including security and privacy issues.
- Lead/support Risk Management related projects and initiatives.
- Maintain up-to-date knowledge of American Bar Association (ABA) Model Rules of Professional Conduct as adopted in each state where the firm maintains an office, and jurisdictional differences in all states and practice areas in which the firm conducts business.
- Assist the daily operation and maintenance of internal legal holds and collection, preservation and destruction of documents.
- Advise attorneys and professionals on all aspects of the Governance policies (e.g., retention, disposition, conflicts) and integrates feedback into policy and process adjustments.
- Ensure compliance with firm-wide processes related to audit letters, outside counsel guidelines, conflict checks, and new business intakes.
- Serve as escalation point for Governance Analysts and troubleshooting conflicts issues through to resolution.
- Perform legal research, including review of case law and jurisdictional issues related to conflicts clearance, lateral hiring, ethical walls, and records disposition.
