The legal and compliance specialist supports the DCS Legal, Ethics and Compliance Department with the performance of the essential job functions listed below. They will possess excellent written and verbal communication skills, and they have ability to quickly grasp assignments and work autonomously with periodic direction.Essential Job Functions:Ethics and Compliance
- Support development and implementation of an ethics and compliance training curriculum for a growing government contractor of approximately 2000 employees.
- Administer the Ethics and Compliance Training Program, including:
- Assist in identifying and evaluating subject matter and candidate courses
- Create training campaigns using the company’s Learning Management System (“LMS”);
- Prepare and send communications to employees in connection with training campaigns;
- Monitor and manage each training campaign after launch, including problem resolution;
- Produce training completion reports and other metrics as requested; and
- Communicate with managers and employees in connection with uncompleted training.
- Monitor DCS Ethics Helpline, maintain Ethics Helpline log, and investigate matters as requested.
- Manage and update internal Ethical and Compliance SharePoint site.
- Identify articles to inform employees of ethics and compliance topics.
Export Compliance
- Prepare and submit to the U.S. Department of State, Office of Defense Trade Controls, license applications, technical assistance agreements and other export authorization requests in consultation with company counsel.
- Track pending export authorization requests.
- Track export compliance logs for technical assistance agreements and Foreign Military Sale exemptions.
Risk Insurance Administration
- Administer corporate risk insurance program, including the request, receipt and review of information from internal stakeholders required to complete annual applications and solicit proposals from carriers.
- Support development, management and updates to internal Risk Insurance SharePoint site.
- Coordinate with the company broker and internal business units to issue certificates of insurance
- Address coverage and other questions in coordination with company legal counsel
Stock Plan Administration
- Use a third party information system to prepare, issue and track stock-based compensation awards.
- Draft and send documentation to facilitate company purchase of stock from current and former employees.
- Maintain the company’s stock register.
- Draft and send communications to employee shareholders as required.
Corporate and Other Matters
- Assist with litigation, claims and other disputed matters.
- Coordinate review and approval of new and revised policies with the Policies and Procedures Committee.
- Prepare and distribute materials as requested in support of activities of the Board of Directors and its committees.
- Maintain corporate records of DCS and its subsidiaries.
- Prepare and submit new qualification applications and annual reports to states where the company does business and other actions as required to maintain the company’s good standing.
- Obtain Virginia notary public commission and notarize corporate documents as requested.
- Perform administrative and internal coordination tasks as assigned.
Required Skills:Due to the sensitivity of customer related requirements, U.S. Citizenship is required.A Bachelor’s Degree plus 5 years of experience is required.Strong written and verbal skills.Ability to conduct independent research and analysis.Demonstrated professional maturity and attention to confidentiality.High level of attention to detail and ability to complete assignments within reasonable deadlines.Ability to exercise sound judgment and work cooperatively across multiple company organizations and stakeholders.Ability to quickly learn multiple cloud-based platforms used to support stock plan administration, ethics and compliance and export control, as well as other new software and web platforms as required by changing organizational and departmental needs.Proficiency with MS Word and Excel.Desired Skills:Prior experience working in a corporate legal department.Familiarity with International Traffic in Arms Regulations (ITAR). Prior experience with U.S. State Department defense export licensing system (DECCS) a plus.Familiarity with stock-based compensation and third party information platforms used to manage such programs.Basic knowledge of corporate ethics and compliance programs, including related training.Prior experience administering an online training program using a third party platform.Relevant work experience in the areas of risk insurance and corporate governance.
