Your Title: Legal Counsel
Job Location: Westminster, CO or Portland, OR
Business Unit/Department: Legal
Trimble Owner and Public Service ("O&PS"), a division of
Trimble's Architects, Engineers, Construction and Owners
("AECO") segment, seeks an experienced Legal Counsel with
significant experience with commercial and technology transactions to support
our suite of software products. The successful candidate will be a business
friendly counsel and contracts facilitator, who can play a lead role in
drafting, reviewing, and negotiating a wide range of commercial contracts.
You should be a highly collaborative person who is able to provide proactive
and creative solutions and strategies that are responsive to our internal
clients' needs. This role will report directly to the Senior Director of
Legal for AECO and work closely with the legal team at Trimble.
What You Will Do
Drafting, reviewing, and negotiating various commercial contracts and
agreements with customers, partners, vendors, institutions, and
governments; these may include MSAs, software licenses,
software-as-a-service agreements, licenses, purchases, sales, product
warranties, and non-disclosure agreements
Managing and/or mitigating potential legal risks by designing,
implementing, and enforcing company policies, procedures, and best practices.
Ensuring compliance with all applicable laws and regulations that apply to the
business and its interests
Reviewing and providing guidance, suggestions, and exceptions on
RFI's, RFP's, and RFQ's.
Coordinate and collaborate with internal stakeholder organizations, such as
Finance, Sales Operations, Risk Management, and Corporate Revenue,
with the goal of reducing process friction, expediting transaction flow,
and improving everyone's contracting experience
Staying current with changes to legislation, particularly in relation to
laws, rules, and regulations that directly affect our business and industry
Maintaining high confidentiality for all sensitive and protected information.
Effectively manage time and priorities by focusing on highest priority tasks
and working efficiently
Act as a resource for questions regarding contract document controls and
process
Working with the legal team regularly providing updates and guidance on
various legal matters, concerns, and issues.

What Skills & Experience You Should Bring
J.D. degree required, and licensed and admitted member of the state bar in
good standing.
Minimum 5 years of experience with a legal practice focused on contractual
law.
Strong experience with all facets of business/corporate law; experience
with the software license terms and conditions, technology security, and
federal, state, and local government industries is a plus.
Enjoys working in a global, fast-paced, and demanding work environment.
Able to manage multiple priorities and brings a problem-solving and "can
do" attitude
Able to be flexible and creative in dealing with novel and/or complex legal
issues, and to provide practical and business-oriented legal advice
Excellent business acumen, with the ability to balance risk and reward and
to make difficult decisions in challenging situations
Excellent communication and relationship-building skills, with ability to
liaise effectively with a variety of stakeholders and functions
Ability to manage multiple projects and adapt to changing priorities
Ability to represent the company in a positive and professional manner
