As we continue to expand our services and client base, we are seeking an experienced associate or senior associate to join our team.
Position Overview:
As part of our M&A tax team, you will collaborate closely with clients and our team of professionals to provide strategic tax guidance throughout the M&A process. Your expertise in tax planning and compliance will be instrumental in helping clients maximize value and minimize risk in their transactions.
Responsibilities:- Lead the execution of comprehensive tax analysis and due diligence for M&A transactions.
- Develop and implement tax-efficient structures and strategies.
- Advise clients on tax implications related to deal structures, financing, and post-acquisition integration.
- Prepare tax models showing after-tax cash proceeds for sellers and impacts to buyers for various structuring options.
- Perform attribute analysis including E&P studies, stock basis studies, Section 382 analyses, etc.
- Analyze the tax treatment of transaction costs incurred by clients.
- Stay current with changes in tax laws and regulations to ensure compliance and identify opportunities.
- Collaborate with cross-functional teams to deliver holistic solutions to clients.
- Mentor and train junior team members to enhance their tax expertise.
- Assist with managing multiple clients and engagements including managing client expectations, ensuring client satisfaction, meeting deadlines, and leading change efforts effectively.
- CPA or JD required
- Minimum of 5 years of experience in M&A tax consulting within a public accounting firm.
- Strong knowledge of federal, state, and international tax laws.
- Proven experience in tax due diligence, structuring, and compliance.
- Exceptional analytical and problem-solving skills with extensive background in tax research.
- Excellent communication and client relationship management abilities.
- Initiative to learn, ask questions, operate in a fast-paced environment, challenge the status quo, develop strong relationships internally, and flexibility are required and keys to success.

Estimated Salary Range: $85,000-$210,000
