**Salary Range**

$130,000 - $150,000

**Position Overview** 

We are looking for a mid-level corporate associate with solid experience in corporate law to provide top-notch legal advisory services to our clients. This role will primarily involve advising clients on:

- Mergers and Acquisitions (asset and stock transactions, due diligence, negotiations)

- Debt and Equity Financings (venture capital, convertible debt, bank financings)

- Securities Law Compliance (private offerings)

- Commercial Law and Contracting

The successful candidate will join a terrific team that is dedicated to delivering exceptional representation and service to our clients.

**Key Responsibilities**

- Provide legal counsel on corporate transactions, including M&A, financing, and compliance matters.

- Conduct thorough due diligence and prepare related documentation for transactions.

- Draft and negotiate various agreements and contracts.

- Maintain strong relationships with both internal and external clients.

- Stay updated on changes in corporate and securities laws to ensure compliance.

**Qualifications**

- Juris Doctor (J.D.) degree from an accredited law school.

- Licensed to practice in Massachusetts and/or New Hampshire.

- Minimum of 3 years of relevant experience in a sophisticated corporate practice.

- Strong understanding of corporate transactions, entity formation, venture capital financing, and securities laws (both state and federal).

- Excellent interpersonal communication skills with a demonstrated ability to manage client relationships effectively.
