About the Job
The corporate law firm of Kennedy Sutherland LLP is seeking a talented legal assistant or paralegal for its team in San Antonio, Texas. The firm's practice is corporate, banking, finance, and securities related and will involve direct support of the attorneys on clients' legal matters. The candidate will primarily work with the team on real estate and lending transactions but will also have the opportunity to assist with such other matters as the formation of business entities, tax credit financings, mergers and acquisitions, securities offerings, and numerous general business and regulatory matters.
Responsibilities:
- Assist through all stages of the lending process, including performing lien searches, UCC filings, reviewing credit memos, preparing initial sets of loan documents, managing closing checklists, and handling closing process
- Assessing and preparing contracts, lease agreements, and closing documents
- Compile, assess, and review due diligence for transactions
- Ability to draft various legal documents - with a proactive approach to redlining, spellcheck, and grammatical correctness
- Ability to stay organized while managing multiple matters and competing deadlines
- Conduct legal research and other correspondence as assigned
- Assist with new client intake process, including preparation of engagement letters
- Prepare, edit, and review legal documents
- Answer mainline telephone calls
- Manage the firm's website, client alerts, and social media
- Attend events, conferences, and other meetings on behalf of the firm
- Assist with scheduling and monitoring deadlines
- Monitor office supplies, drinks, and snacks
- Other clerical tasks as necessary

Accomplishments:
- 3+ years of prior corporate and securities paralegal experience (in either a law firm or corporation).
- Bachelor's Degree and/or Paralegal Certificate is a plus.
- Proficiency handling commercial lending transactions, including loan documentation and diligence process, is preferred.
- Significant and recent experience with M&A transaction closings and Texas corporate law.
- Significant and recent experience with securities transaction closings (federal and state securities law, including Form D and blue sky).
