Key Responsibilities
Leases/Amendments – 1,200+ Centers
- Review lease document negotiation package received from Business Development for completeness and compliance with in-house practices/process
- Forward lease documents to outside counsel with authorization to proceed with negotiation and/or any special instruction
- Coordinate with outside counsel/Business Development to obtain missing documents
- Coordinate with Treasury Dept for request, review and issuance of LOCs
- Liaise between outside counsel and Treasury during LOC negotiation
- Prepare first draft of NCO MVR; coordinate with Business Development for approval of MVR/execution package
- Prepare and process lease documents for execution, including coordination of signature by IWG and performing notary services as needed, and distribution to both internal stakeholders and landlord parties
- Manage real estate status report on BC Connect
- Review and interpret lease clauses in connection with notice of defaults; notify appropriate departments of receipt of notice of default
- Prepare first draft of notice of defaults to be sent to landlords
Managed Client Agreements
- Coordinate formation of IWG entities for MCAs
- Prepare first draft of MCA MVR; coordinate with Growth team for approval of MVR/execution package
- Process MCA documents for execution, including coordination of signature by IWG, and distribution of same and updating status on BC Connect at execution
Estoppels – 1,200+ Centers
- Receipt and review of request
- Craft appropriate due diligence email to appropriate departments for review and confirmation of factual matters as appropriate and compile and analyze responses
- Revise estoppel to conform to lease terms and due diligence responses and to make other commercially reasonable changes to conform estoppel to NAM Legal standing instructions for estoppel revisions
- Coordinate and process execution of estoppels and distribute to landlords and lenders
- Negotiate requested changes with landlord and/or lender with support of in-house counsel as needed
SNDAs – 1,200+ Centers
- Receipt and review of request
- Craft appropriate due diligence email to appropriate departments for review and confirmation of factual matters as appropriate and compile and analyze responses
- Revise SNDA to conform to lease terms and due diligence responses and to make other commercially reasonable changes to conform SNDA to NAM Legal standing instructions for SNDA revisions
- Coordinate and process execution of SNDAs and distribute to landlords and lenders
- Negotiate requested changes with landlord and/or lender with support of in-house counsel as needed
Miscellaneous
- Receipt and review of all NAM legal invoices; prepare Excel spreadsheet for each vendor, obtain appropriate internal approvals from individuals, and submit for payment; liaise between outside counsel and AP regarding any billing issues
- Back-up to Corporate Paralegal for corporate documentation preparation and Operation Support
- Notary Public
- Respond to inquiries for entity information and corporate structure; interpretation of lease provisions for various departments.
- Receipt of all correspondence addressed to Legal Department and distribute as appropriate
- Special projects as needed
