Job Details
- Advise corporate clients on compliance with federal securities laws, including the Securities Act of 1933, the Securities Exchange Act of 1934, and regulations set forth by the SEC and FINRA.
- Draft and review legal documents for public and private securities offerings, such as registration statements, prospectuses, and offering memoranda for Initial Public Offerings (IPOs) and private placements.
- Counsel clients on corporate governance matters, including SEC reporting obligations, stock exchange rules, and best practices for boards of directors and shareholder communications.
- Provide legal advice on the securities aspects of M&A transactions, including the sale of stock, equity interests, and other capital market issues.
- Represent clients in securities-related litigation, including class actions, SEC enforcement actions, and shareholder disputes. Defend against allegations of securities fraud and insider trading.
- Assist clients with establishing and maintaining insider trading policies and ensure compliance with laws prohibiting insider trading.
- Defend clients in securities fraud cases, manage SEC investigations, and navigate regulatory inquiries from FINRA and other agencies.
- Conduct due diligence for securities transactions, ensuring accuracy in financial disclosures and compliance with applicable laws.
We’re Looking For:
- Licensed to practice in VA
- Juris Doctor (JD) from an accredited law school
- 2+ years job experience in Securities Law
