Senior Corporate Counsel - EMPOWER

**Position Overview:**

We are seeking a highly skilled and experienced Senior Corporate Counsel to join our legal team. The ideal candidate will have a strong background in corporate law, contract negotiation, compliance, and risk management. This role will provide strategic legal advice and support across various business units and contribute to the organization’s objectives while ensuring adherence to legal standards and regulations.

**Key Responsibilities:**

- Provide expert legal guidance on corporate governance, mergers and acquisitions, joint ventures, and strategic partnerships.
- Draft, review, and negotiate a wide range of contracts, including commercial agreements, service agreements, and NDAs.
- Advise on corporate compliance matters, ensuring adherence to federal, state, and local regulations.
- Collaborate with internal stakeholders, including finance, HR, and operations, to identify and mitigate legal risks associated with business decisions.
- Conduct legal research and stay updated on relevant laws and regulations affecting the industry.
- Lead or assist in corporate transactions, including structuring, due diligence, and closing processes.
- Develop and implement internal policies and procedures to promote compliance and reduce legal risks.
- Manage relationships with external legal counsel as necessary, ensuring cost-effective and efficient legal support.
- Provide training and guidance to internal teams on legal issues and best practices.
- Support the litigation strategy as needed, coordinating with outside counsel on disputes or regulatory matters.
- Act as a trusted advisor to senior management on legal and strategic initiatives.
