Job Details
Qualified applicants will have:
5+ years of corporate or business law paralegal experience in a law firm setting is required.
Paralegal certificate or degree preferred.
Proficiency with Adobe and Microsoft Office suite (Word, Excel and Outlook) are required.
Strong organizational skills, attention to detail and good judgement.
Ability to manage multiple projects with competing deadlines and priorities.
Excellent communication skills, both written and verbal
Responsibilities Include:
Assist in all aspects of mergers and acquisitions and corporate governance.
Assist attorneys in the drafting and reviewing of legal documents such as by laws, compliance documentation, entity formation and organizational documentation.
Oversee all governance filings, including corporate resolutions, corporate minute book management and annual report filings.
Maintain and update docket reminders for corporate governance deadlines.
Organize closing documents and prepare electronic closing binders.
Prepare and file appropriate state tax registrations, elections by a small business corporation, and draft stockholder consents to such election.
Work with attorneys as registered agent to draft and complete annual filings on behalf of the client.
Draft certificates of limited partnerships or articles of organization, operating agreements for LLCs, partnership and limited liability company annual reports, and other state filings.
Prepare and file Uniform Commercial Code (UCC) financing statements, amendments, continuations, and terminations.
Prepare and file relevant IRS forms.
Serves as a key point of contact for clients and interprets data for clients.
The billable hour requirement for paralegals is 1600 per year.
This is an in-office position that is eligible for occasional remote work. The Corporate group is generally in office about four days a week, based on the level of client interaction/in-person meetings/general nature of the group. They are extremely flexible and understand if the need arises to stay home because someone is taking care of sick kids, pets, someone coming to fix something at your home, etc.
