We are seeking a highly motivated and experienced Senior Corporate Project Finance Associate Attorney to join our dynamic legal team. This role offers an exciting opportunity to work on project finance, including debt and tax equity, and M&A, with an emphasis on renewable energy-related transactions.

Responsibilities:
1. Drafting, reviewing, and negotiating a broad range of complex commercial agreements, including M&A, joint venture, and strategic alliance agreements.
2. Advising on debt and tax equity project finance, including structuring, negotiating, and documenting transactions.
3. Providing strategic legal advice on corporate governance matters, including fiduciary duties, board governance, and compliance with laws and regulations.
4. Assisting with capital raising activities, including private equity and debt financings.
5. Collaborating with other members of the legal team and business units to ensure alignment between legal and business strategies.
6. Identifying and mitigating legal risks to the company.
7. Keeping abreast of relevant legal developments and advising the business accordingly.
Qualifications:
1. Juris Doctor (J.D.) degree from an accredited law school.
2. Admission to the State Bar.
3. A minimum of 5 years of corporate law experience.
4. Proven experience with debt and tax equity project finance and drafting complex transactions.
5. Excellent negotiation skills and the ability to manage multiple transactions and projects simultaneously under deadline pressure.
6. Strong analytical and problem-solving skills, with the ability to make sound decisions based on a thorough understanding of issues and factors.
7. Excellent communication skills, with the ability to clearly and effectively communicate complex legal concepts to non-lawyers.
8. High ethical standards and professionalism, with the ability to handle sensitive and confidential information appropriately.
9. A strong commitment to client service and a team-oriented approach to work.
