Harvard Resource Solutions was recently engaged in a new search for a Sr. Corporate Paralegal on a direct hire basis for our law firm client in Detroit.

Salary Range: 90K – 105K
Location: Detroit
Title: Sr. Corporate Paralegal
Working Arrangement: Hybrid -4 days in office for the first 6 months. 3 days in the office, 2 days at home is standard firm policy.

Position Description for Sr. Corporate Paralegal

• Perform transactional work, including reviewing, drafting, organizing, and summarizing agreements, resolutions, and other legal documents.
• Conduct UCC searches, filings, and public record searches, manage document reviews and productions, perform legal research, cite-checking, and due diligence.
• Assist with the preparation and filing of securities documents, such as Form D, Blue Sky, and EDGAR filings.
• Support mergers and acquisitions, corporate contract administration, corporate minute book maintenance, and corporate financing transactions.
• Prepare and file formation, incorporation, foreign qualification, merger, conversion, and IRS documents; maintain corporate records and assist with drafting corporate minutes.
• Ensure proper organization of files, documents, closing books, and corporate records.
• Interact with clients, governmental agencies, courts, corporations, and law firms to gather information and coordinate legal matters.
• Maintain a strong work ethic and uphold professionalism, managing a high volume of tasks with minimal supervision.

Requirements for Duties for Sr. Corporate Paralegal

• Associate or bachelor’s degree preferred, with at least 8 years of corporate paralegal experience required.
• Relevant experience in a legal or corporate setting is beneficial but not required.
• Proficient in MS Office with a commitment to staying updated on technological advancements.
• Ability to multitask, prioritize, and manage a demanding workload in a deadline-driven environment.
• Strong communication skills to effectively share information clearly and concisely.
• Exhibits accountability, attention to detail, and a disciplined approach to completing assignments.
• Demonstrates critical thinking and sound judgment in problem-solving.
