The Senior Counsel, Corporate Transactions, will join a small legal team at a rapidly growing company. The Senior Counsel provides legal advice for complex insurance growth and other transactions, manages corporate governance activities, and provides support for other areas as needed within the company.
Position Description
- Serves as an integral member of the core deal team for growth transactions, including public and private legal entity acquisitions and reinsurance transactions, as well as other strategic growth initiatives.
- Participates in the entire lifecycle of transactions from the development of preliminary bids and indications of interest through closing.
- Drafts and negotiates a wide variety of agreements, including confidentiality agreements, investment banking and outside advisor engagement letters, definitive purchase and sale agreements, joint venture agreements, trust agreements, and administrative services agreements.
- Participates in strategic and tactical decision-making and provides counsel to senior management on all legal aspects related to contemplated transactions.
- Acts as primary US counsel for all governance and corporate authority matters.
- Oversees preparation of annual and periodic regulatory filings as well as review and input on quarterly and annual financial statements.
- Oversees and supervises senior corporate paralegal’s work in all matters related to the maintenance of corporate records and multiple Boards of Directors and committee meetings, including close coordination with senior leadership and global senior leadership.
- Advises and collaborates closely with other functions across the company, including finance, actuarial, investments, risk, and operations.
- Assists in managing government affairs.
- Manages and oversees outside law firms to obtain world-class, cost-effective legal services.
Position Requirements
- Law degree from an accredited U.S. law school.
- Current bar license in good standing and compliant with state requirements.
- Team player who can contribute and develop expertise in multiple areas, often with limited guidance.
- 6 years of experience with (i) corporate governance in a complex organization and (ii) reinsurance and mergers & acquisitions in the life insurance industry.
- Familiarity with the Model Holding Company Act.
- Experience managing government affairs is a plus.
- Ability to work under pressure with a high degree of attention to detail, effectively prioritize and manage workload, including conflicting demands, and meet deadlines within a changing, fast-paced environment.
- Strong analytical skills and demonstration of a high degree of judgment.
- Demonstrated leadership presence and skills.
- Superior interpersonal, organizational, written, and oral communications skills.
- Location: NYC office preferred (generally 2-3 days/week in the office) or for the right candidate remote in EST or CST time zones with willingness to travel.
Compensation and Benefits
A reasonable estimate of the base salary for this role ranges from $183,000 to $250,000. In addition to salary, a comprehensive benefits package is offered, including health & wellness programs, incentive and recognition programs, and 401k contribution (all benefits are subject to eligibility requirements). The salary range may differ based on location.

- Base Salary range: NYC $183,000 - $250,000
- Bonus: min 25%
- LTIP: min 20%
