Job Description:
The Contract Manager is responsible for reviewing and negotiating contracts to achieve business objectives while adhering to company policies and procedures. This role involves conducting comprehensive reviews of supplier contracts and internal templates to ensure alignment with business needs, legal standards, and procurement practices. The Contract Manager also supports various procurement project stages, including pre-negotiation strategy and planning, as well as addressing vendor performance issues.
The ideal candidate must have strong experience managing vendor contracts, including reviewing, redlining, and negotiating Master Services Agreements, Statements of Work, SaaS Licensing Agreements and Order Forms, and Data Processing Addenda. Experience in a procurement function is preferred.
Responsibilities:
" Coordinate with internal legal counsel and risk team, negotiate with suppliers to manage risks related to data security, data privacy, legal compliance, and commercial terms, ensuring solutions comply with company standards, policies, and objectives.
" Ensure timely review, approval, or reconciliation of contract variations, and that contracts are communicated to all relevant parties to provide contract visibility and awareness before and after contract execution
" Serve as the point of contact for internal stakeholders on contractual matters by advising them on contractual rights and obligations and providing interpretation of terms and conditions.
" In partnership with procurement category strategy team members, act as a trusted advisor, negotiator, or facilitator between internal project team members, stakeholders, and suppliers to manage issues or risks, execute contracts, and resolve contract or performance disputes.
" Researches, recommends, and creates contract policies, procedures, and contractual clauses.
" Assists in the maintenance of a contract repository and monitors critical contract terms to ensure proactive management of contract renewals, variations, or terminations.
Ideal Qualifications:
" Proven success in managing a high-volume workload.
" Experience reviewing, revising, and annotating contracts leveraging templates and clause libraries to draft.
" Excellent verbal and written communication skills, with an emphasis on clearly communicating project plans and updates.
" Strong project management skills with the ability to manage multiple concurrent projects and deadlines.
" Effective negotiation skills, time management skills, organizational skills, and ability to prioritize work effectively.
" Collaborative mindset with a proven ability to work effectively within a team of procurement professionals on complex projects, as well as with internal company stakeholders across various departments.
" Strong customer service orientation with a focus on meeting the needs of internal stakeholders.
" Bachelor s degree in business, Management or related field or equivalent related work experience.
" 5 to 7 years of collective experience in a minimum of two key areas, including legal contract matters, contract management, business negotiations, claims or marketing services vendor management, and overseeing internal claims or marketing processes or executing multifaceted claims or marketing projects.
" Experience in developing and documenting standardized processes is a plus.
