Primary Responsibilities and Attitude
As the Vice President of Corporate Trust you are someone who loves to build, takes initiative and enjoys working in a fast-paced environment. You possess the ability to collaborate and build strong relationships, both internally and externally, but you aren’t afraid to get your hands dirty in the technical aspects of the business. You will be responsible for developing and implementing strategies to drive business growth through the acquisition of new clients and expansion of existing client and legal relationships.
In addition, you are responsible for the management of our Corporate Trust division. This will also involve reviewing agreements, understanding our fiduciary duties and covenants as a trustee under various appointments, coordinating required documentation for various closings, adhering to compliance, and communicating with and assisting our client’s management, counsel, and security holders.
You are responsible to:
- Manage the overall administration of files in the Corporate Trust division
- Review and comment on Corporate Trust agreements
- Organize required documents for transaction closings and liaison with our team to open accounts and schedule incoming/outgoing wires
- Maintain records under our various corporate trust appointments
- Ensure that adequate training is instituted and provided for all Corporate Trust staff, both new and on-going, and that regular information on Corporate Trust is provided to or accessible by all Odyssey staff
- Manage new business and pipeline activity
- Ensure all month-end corporate trust billing is completed
- Communicate with our clients, as well as their counsel and securityholders on a regular basis
- Make business decisions that are financially responsible, accountable, justifiable, and defensible in accordance with organization policies and procedures.
- Demonstrated ability to serve as a knowledgeable resource to and member of the organization's management team that provides leadership and direction.
- Verifies all aspects of client identification procedure and necessary onboarding documents are provided and in accordance with Know your Customer (KYC), AML/ATF policies guidance.
- Responsible for fostering a culture of compliance with policies, procedures and regulations, including providing regular training on processes and other resources to ensure all team members understand regulatory and procedural compliance as it applies to their job function
- Conduct annual risk and control self-assessments with other departmental managers to assess the risks of all processes handled by the team or department, determine the controls we have in place, rating the controls and the residual risks to determine if the controls are sufficient.
- Collaborate with senior management to assess budgetary and resource requirements for the Corporate Trust division, including staffing levels
- Collaborate with other departments and executive members on business development plans and initiatives, including regular meetings with current or prospective clients and centres of influence such as law firms
- Conduct regular reviews of corporate trust fees to ensure Odyssey is both within market ranges and receiving adequate compensation with regard to administration levels and risk
Skills and Experience
- 10 years Corporate Trust experience
- Experience in finance, banking or trust companies
- Strong sales experience with proven success
- Law firm network
- A bachelor’s degree (Law would be an asset)
- Ability to support a team within a busy work environment with changing priorities.
- Strong analytical and organization skills
- Exceptional problem-solving skills and high attention to detail
- Advanced communication skills (written and oral)
- Advanced proficiency with Office 365 (Excel, Word, PowerPoint) and Adobe Acrobat
